This Vendor Agreement ("Agreement") is entered into between Bhutan Product ("Bhutan Product", "we", "us" or "our"), an online multi-vendor marketplace based in Thimphu, Bhutan operating at https://bhutanproduct.com, and the individual, business, company or organization registering as a vendor on the platform ("Vendor", "you" or "your").
This Agreement is executed electronically. By typing your full legal name into the signature field, checking "I agree", and submitting the Vendor Registration form, you sign this Agreement and confirm you have read and accepted it — see Section 32 (Electronic Signature and Acceptance) for how that signature is recorded.
Bhutan Product operates an online marketplace through https://bhutanproduct.com that allows approved vendors to list and sell products to customers in Bhutan.
Bhutan Product provides the technology platform, catalogue, marketing opportunities, order-management facilities and other marketplace services.
Unless specifically stated otherwise, Bhutan Product acts as a marketplace/platform operator and does not manufacture, own or directly supply products listed by independent Vendors.
To become a Vendor, you must:
Bhutan Product may request additional information or documentation at any time. Individual sellers (selling from home, without a business licence) are registered under a simplified Individual vendor track described in Section 4.
Registration does not automatically create an active Vendor account. All Vendor applications are subject to review and approval by Bhutan Product.

Bhutan Product is not required to provide confidential internal reasons for its commercial decision, except where disclosure is required by applicable law.
The platform offers two registration tracks:
The Vendor must immediately update any information that becomes inaccurate, expired or outdated via the Vendor dashboard.
Depending on the registration track, the Vendor uploads:
These documents are stored privately and are only accessible to Bhutan Product administrators for verification purposes — they are never displayed publicly on the marketplace.
The Vendor confirms that documents submitted belong to the Vendor or that the Vendor is legally authorized to submit them. Submitting false, altered, forged or misleading documents may result in immediate suspension or termination.
The Vendor is solely responsible for ensuring that every product listed through the platform:
The Vendor must not list prohibited, counterfeit, unsafe, illegal or restricted products. Certain categories may require additional regulatory approval before they can be listed.
Vendors must provide accurate product information, including where applicable: product name, description, brand, specifications, size, colour, weight, quantity, images, variants, SKU, stock quantity, vendor/base price, warranty information, and any other legally required information.
The Vendor must not intentionally provide misleading or deceptive information.
The Vendor represents that it owns, licenses or has permission to use all photographs, videos, descriptions, logos and other materials uploaded to Bhutan Product.
The Vendor must not upload copyright-infringing material, unauthorized brand material, misleading photographs, images belonging to another seller without authorization, or illegal or offensive material.
By uploading content, the Vendor grants Bhutan Product a non-exclusive, royalty-free, worldwide licence to use, reproduce, resize, crop, optimize, display and promote that content for operating and marketing the marketplace.
Bhutan Product automatically processes uploaded product images for consistent website presentation — cropping, resizing, background adjustment, compression, format conversion and thumbnail generation. The Vendor remains responsible for ensuring the resulting image accurately represents the product.
The Vendor sets the Vendor/base price for each product.
Bhutan Product's pricing engine may apply a markup on top of the Vendor's base price — configured at the product, vendor, category, or platform-wide level (applied in that priority order) — to determine the final customer-facing price displayed on the marketplace.
The Vendor must not attempt to bypass or manipulate the marketplace pricing system, and must not solicit customers to transact outside the platform to avoid it.
The Vendor must maintain accurate inventory information through the Vendor dashboard. If a product is out of stock, the Vendor must promptly update the stock status.
Repeated acceptance of orders for unavailable products may result in a warning, temporary suspension, product removal, account suspension, or termination.
When an order for a Vendor's product is placed, the Vendor must fulfil the order according to the delivery and fulfilment requirements communicated by Bhutan Product, and update the order's status through the Vendor dashboard as it progresses (Confirmed → Processing → Ready for Delivery → Shipped → Delivered).
The Vendor must not cancel an order without a valid reason, and must notify Bhutan Product promptly if an order cannot be fulfilled.
The Vendor is responsible for ensuring that products supplied to customers match the listing, are not damaged, are properly packaged, are genuine, are safe, and meet applicable legal and regulatory requirements.
Complaints relating specifically to product quality may be referred to the Vendor for resolution. Bhutan Product may intervene where necessary to protect customers and the integrity of the marketplace.
Vendors must comply with Bhutan Product's Return & Refund Policy. Where a product is defective, damaged, incorrect, significantly different from its listing, counterfeit, unsafe, or otherwise non-compliant, the Vendor may be required to provide a replacement, refund or other appropriate remedy.
Nothing in this Agreement removes rights or remedies that customers have under applicable Bhutanese law.
Bhutan Product collects customer payments on the marketplace's behalf via Bank QR or Bank Transfer, using an advance-plus-balance payment split, with each payment verified manually against the submitted proof of payment before an order is confirmed or handed over — see the Payment Information page for full details of how customers pay.
Vendor settlement — the payout of the Vendor's share of collected proceeds — is arranged directly between Bhutan Product and the Vendor, according to the settlement schedule, fees, and method communicated separately or through the Vendor dashboard.
Bhutan Product may withhold or delay settlement where an order is disputed, a refund is pending, fraud is suspected, documentation is incomplete, or applicable law requires withholding.
Vendor bank/payment information provided for settlement purposes must be accurate. Bhutan Product is not responsible for delays caused by incorrect bank account details supplied by the Vendor.
Bhutan Product may introduce listing fees, commission, subscription fees, transaction fees, promotional fees, or other marketplace charges. Any applicable fees will be communicated to Vendors through the applicable commercial terms, and Bhutan Product may change its fee structure by providing reasonable notice.
The Vendor is responsible for complying with applicable tax obligations relating to its business and sales. Vendors should obtain independent professional advice regarding their tax obligations.
Vendors must not list products that are illegal, counterfeit, prohibited, unsafe or otherwise restricted. Products requiring specific regulatory authorization may only be listed where the Vendor has obtained the required authorization.
Bhutan Product may remove or suspend any product that it reasonably believes presents a legal, safety, regulatory or reputational risk.
The Vendor must not sell counterfeit products or products that infringe copyright, trademark, patent, industrial design, trade secrets, or other intellectual property rights. Bhutan Product may immediately remove suspected infringing products.
Vendors must not use customer information obtained through Bhutan Product to spam customers, sell customer information, add customers to unrelated marketing lists without a lawful basis or consent, contact customers for unrelated commercial purposes, or circumvent Bhutan Product. Customer information may only be used for legitimate order fulfilment and marketplace-related purposes.
Vendors must not manipulate ratings, create fake orders or reviews, manipulate stock, misrepresent products, circumvent marketplace fees, attempt to move customers off-platform to avoid applicable fees, upload malicious files, attempt unauthorized access, abuse the platform, or harass customers or staff.
The Vendor is responsible for maintaining the confidentiality of their username, password, and account access, and must immediately notify Bhutan Product if unauthorized access is suspected.
Bhutan Product may suspend a Vendor where it reasonably believes the Vendor violated this Agreement or applicable law, submitted false information, sold prohibited products, received serious customer complaints, repeatedly failed to fulfil orders, engaged in fraud, infringed intellectual property, created a security risk, or otherwise harmed the integrity of the marketplace.
Either party may terminate the Vendor relationship in accordance with applicable terms. Bhutan Product may immediately terminate the account for serious misconduct, fraud, illegal activity, counterfeit goods, security violations or other serious breaches.
Termination does not automatically eliminate obligations relating to outstanding payments, returns, refunds, customer claims, confidentiality, intellectual property, data protection, or disputes.
Bhutan Product collects and processes Vendor information necessary to verify identity and business eligibility, operate the marketplace, process orders and settlements, prevent fraud, meet legal obligations, provide customer support, and maintain platform security. Further information is provided in the Privacy Policy.
The Vendor must keep confidential any non-public information obtained through the platform, including customer information, internal pricing, platform systems, commercial information, and security information.
Bhutan Product provides a marketplace platform and does not generally manufacture products supplied by independent Vendors. The Vendor remains responsible for its own products, representations, legal compliance and fulfilment obligations. Nothing in this clause limits any liability or responsibility that cannot lawfully be excluded.
Vendors should first attempt to resolve marketplace-related disputes directly with Bhutan Product. Where a consumer dispute is involved, the applicable consumer protection mechanisms and authorities remain available. Bhutan Product will cooperate with lawful requests from competent Bhutanese authorities.
Bhutan Product may update this Agreement from time to time. Material changes may be communicated through email, the Vendor dashboard, or a website notification. Continued use of the Vendor account after the effective date of updated terms may constitute acceptance where permitted by law.
This Agreement shall be interpreted in accordance with the applicable laws of the Kingdom of Bhutan. Nothing in this Agreement is intended to remove mandatory consumer or other statutory rights.
This Agreement is signed electronically. When a Vendor types their full legal name into the signature field, checks "I agree", and submits the Vendor Registration form, Bhutan Product records:
By signing, the Vendor confirms that: the information provided is accurate; the Vendor has authority to enter into this Agreement; the Vendor has read this Agreement in full; the Vendor agrees to comply with it; and the Vendor agrees to comply with applicable laws and regulations. This electronic signature has the same legal effect as a handwritten signature.
A record of your signature (name, timestamp, and version signed) is available at any time from your Vendor dashboard.
